Terms of Service

These Terms of Service (the "Terms") apply to your access to and use of the Govrum website, mobile web app and related services (together, "Govrum" or the "Platform"). Govrum is a brand owned and operated by Spark CX FZE, a company licensed in the Sharjah Publishing City Free Zone, United Arab Emirates ("we", "us", "our").

By creating an account, listing vehicles, submitting a booking request, or otherwise using the Platform, you confirm that you have read, understood and agreed to these Terms and to our Privacy Policy and Cookie Policy. If you do not agree, please do not use the Platform.

Govrum is a technology and reservation platform that helps drivers ("Customers") discover car rental agencies ("Agencies") in the UAE and send them booking requests. The rental contract for any vehicle is entered into directly between the Customer and the Agency that owns or represents the vehicle. Govrum acts as a disclosed intermediary; it is not the owner, lessor, operator, insurer, driver, agent, escrow provider or payment institution for any rental.

Agencies set their own listings, prices, cancellation rules, driver requirements, security deposits, insurance arrangements, delivery terms and rental contracts. We display this information as supplied by the Agency and are not responsible for its accuracy or for the Agency's performance.

You must be at least 18 years old and legally capable of forming a binding contract to use Govrum. To rent a vehicle in the UAE you must additionally hold a valid driving licence accepted by the Agency and by UAE law and meet any age, licence-tenure and identity requirements the Agency displays for the vehicle.

You agree to:

• Provide accurate, current and complete information when creating your account and keep it up to date;
• Keep your password confidential and not share your account with anyone else;
• Take responsibility for everything done through your account;
• Notify us promptly at support@govrum.com if you suspect unauthorised access.

We may refuse, suspend or close accounts that breach these Terms, our policies, or applicable law.

When you send a booking request on Govrum, the Agency receives your request and can accept, decline or propose changes. A booking becomes a rental contract only when the Agency confirms it and, at handover, both parties sign or accept the Agency's own rental agreement and any related documents.

Requests may show one of the following statuses on your account: pending, confirmed, completed, cancelled or rejected. Timings for Agency responses vary and are not guaranteed by Govrum. Availability is subject to change until the Agency has confirmed.

Prices are shown in United Arab Emirates dirhams (AED) and are set by the Agency. Where shown, a 5% UAE VAT line is calculated on the Agency's behalf; the underlying tax obligation is the Agency's, not Govrum's.

Govrum does not currently collect payment from Customers on behalf of Agencies. Rental amounts, deposits, delivery fees, extras, damages, tolls (including Salik), traffic fines and any other charges are paid directly to the Agency in accordance with the Agency's own terms (typically at vehicle handover, by the payment methods the Agency accepts).

Any downloadable receipt or booking summary generated by Govrum is a convenience document reflecting information supplied by the Agency and is not a tax invoice from Govrum. The tax invoice, if any, is issued by the Agency.

Note: an online payment feature may be introduced in the future. If and when it is, these Terms will be updated to describe how funds are collected, held and refunded, and Customers will be asked to re-accept the updated Terms.

Because the rental contract is between the Customer and the Agency, the Agency's own cancellation, refund and no-show rules apply. These are shown at the booking request stage and in the Agency's rental agreement. Customers should read them before confirming.

Govrum does not hold funds and does not process refunds. Where a refund is due, it is issued directly by the Agency using the payment method the Customer used with them. If you have a dispute, please raise it with the Agency first; Govrum may help facilitate contact but is not able to award refunds or damages on behalf of an Agency.

Vehicle handover, pre-rental inspection, fuel level, mileage checks, damage documentation, extension of rentals, and return conditions are managed by the Customer and the Agency under the Agency's rental agreement.

Any Salik toll charges, traffic fines, parking fines, impound fees, damage to the vehicle or third parties, and any related administration fees are the Customer's responsibility to the extent set out in the Agency's rental agreement and applicable UAE law. Govrum has no role in assessing, disputing, collecting or settling such charges.

Govrum is not an insurance provider, broker or agent. Any insurance cover for a vehicle (basic third-party, comprehensive, collision damage waiver, personal accident cover, etc.) is arranged by the Agency and applies on the terms the Agency describes. Customers are responsible for reviewing the scope, excess, exclusions and territorial limits of any cover before taking the vehicle.

You agree not to:

• Break any UAE or other applicable law, or use Govrum to plan or commit unlawful acts;
• Post content that is false, defamatory, obscene, hateful, harassing, or infringes anyone's rights;
• Submit fake bookings, fake reviews, or attempt to manipulate rankings, promotions or search results;
• Impersonate any person or misrepresent your affiliation with an Agency;
• Scrape, crawl, mirror or systematically extract data from the Platform without our written permission, or reverse-engineer any part of it;
• Introduce viruses, malware or other harmful code, or attempt to gain unauthorised access to any account, system or data;
• Interfere with, overload or disrupt the Platform or its infrastructure.

Serious or repeated breaches may lead to account suspension or closure, removal of content, and reporting to competent authorities.

Reviews on Govrum are for genuine experiences with an Agency or vehicle rented through the Platform. All reviews are subject to moderation: they may be published, edited for policy compliance, hidden or removed at our discretion, and the Agency may reply.

You retain ownership of any text, photos or other content you submit ("User Content"). By submitting User Content, you grant Govrum a worldwide, non-exclusive, royalty-free, transferable licence to host, store, reproduce, adapt (for formatting), publish, translate, and display that content on and in connection with the Platform, including for promotional and marketing purposes. You confirm you have all rights needed to grant that licence and that your content does not violate anyone's rights or any law.

Govrum communicates with you by email, in-app notifications and in-app chat. You can manage per-category preferences (booking, payments, reviews, marketing, etc.) at any time from your notification settings. Some messages are transactional and required for you to use the service; these cannot be turned off while you have an active account or booking.

Govrum offers AI-assisted features, including a customer AI Concierge, an Agency AI workspace assistant and voice-to-text transcription. These features send the content you submit (text, and in the case of voice input, audio) to a third-party large-language-model provider via the Lovable AI Gateway (currently OpenAI-family models). Output may be incomplete, out of date or wrong, so please verify important information (prices, availability, legal or financial matters) before acting on it. Govrum does not make legally significant decisions about you based solely on AI output.

If you use Govrum as an Agency (including via an agency team account), the following additional terms apply and form part of your agreement with us. You are responsible for your organisation and for anyone you invite to your agency workspace.

• You hold, and will maintain, all licences, permits and approvals required in the UAE to rent out the vehicles you list, including a valid trade licence and the right to operate each vehicle;
• Each listed vehicle is roadworthy, legally registered and insured for rental use to the extent required by law and by your rental agreement;
• Listings (photos, specifications, prices, fees, deposits, cancellation rules, delivery zones) are accurate and kept up to date;
• You provide clear, lawful rental agreements to your Customers and honour the confirmed booking terms;
• You handle payments, deposits, refunds and receipts directly with the Customer and issue any tax invoices required by UAE VAT law;
• You respond to Customer messages and booking requests in a reasonable timeframe;
• You act as an independent controller of Customer personal information you receive through the Platform and comply with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data ("PDPL") and other applicable data-protection law;
• You do not misuse Customer data (for example, no unsolicited marketing outside the platform without a proper legal basis);
• You comply with all applicable law, including consumer-protection, anti-money-laundering, sanctions and road-traffic rules.

You agree to indemnify Govrum for losses we suffer as a result of your breach of this Agency Addendum or of law. We may suspend or remove listings, or close an agency account, if we reasonably believe it is misused, misrepresents information, or endangers Customers.

The Govrum name, logo, product design, software, database, page copy and other Platform materials are owned by Spark CX FZE or its licensors and are protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Platform for its intended purpose. All other rights are reserved.

The Platform relies on services from Supabase (hosting, database, authentication, file storage), Resend and the Lovable email infrastructure (transactional email), Mapbox (maps), Google Analytics (usage analytics, gated behind your cookie choice), the Lovable AI Gateway (AI features) and Cloudflare (share-link previews). Their processing of your data is described in our Privacy Policy. Third-party sites linked from the Platform are not controlled by us; their terms and privacy notices apply.

Except as required by law, the Platform is provided "as is" and "as available". We do not guarantee that listings, prices, availability, ratings, reviews, AI output or any other information are accurate, complete, up to date or fit for a particular purpose, or that the Platform will be uninterrupted, secure or error-free. Agencies are independent third parties; Govrum does not warrant their conduct, the quality or safety of their vehicles, their compliance with law, or the outcome of any rental.

To the maximum extent permitted by UAE law, Govrum (Spark CX FZE, its group companies, officers, employees and licensors) will not be liable for any indirect, incidental, special, consequential or punitive damages, loss of profit, revenue, data, goodwill or opportunity, arising out of or in connection with your use of the Platform or any rental arranged through it, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising in any 12-month period will not exceed the greater of (i) the total service fees (if any) actually received by Govrum from you during that period and (ii) AED 500.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under UAE law, including consumer-protection law. Your statutory rights are not affected.

You agree to indemnify and hold Govrum harmless from any claim, loss, liability or expense (including reasonable legal fees) arising from (a) your breach of these Terms, (b) your misuse of the Platform, (c) your User Content, or (d) your breach of any law or third-party right.

You may close your Govrum account at any time from your account settings. We may suspend or close accounts, remove content or restrict access at our discretion where we reasonably believe there is a breach of these Terms, a legal obligation, a risk to other users, or fraud. Sections of these Terms that by their nature should survive termination will survive (including on IP, disclaimers, liability, indemnity, governing law and disputes).

We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top and, for material changes, notify active users by email or in-app notice before the change takes effect. Continued use after the change means you accept the new Terms; if you do not agree, please stop using the Platform.

These Terms are governed by the federal laws of the United Arab Emirates and, where applicable, the laws of the Emirate of Sharjah. The courts of Sharjah have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Platform, save that we may bring proceedings to protect our intellectual-property rights in any competent court.
